GENERAL CONDITIONS:
1. Enrollment.

2. Links on your site
Once you have been notified by us of that your account is prepared to start tracking the traffic from your site to our site you may provide on your site the banner pointing to our website. We will provide you the necessary code to put our banner on your site. This banner will have a special tagged format in order to allow us accurate tracking, reporting and referral fee accrual.
3. Order Processing
We will process enrollment order placed by customers who follow special links from your site to our site. We will be responsible for all aspects of order processing and fullfilment.
4. Referral Fees
We will pay you (in accordance with Sections 5 and 6 below) referral fees on enrollment orders made by a customer following a link from your site to our site. All the visits to our site will be logged and saved in a database, to make it possible to pay you the referral fees corresponding to the customers that you drive to our site, so a customer does not need to follow the link on your site each time he/she comes to our site, but only the first.
5. Referral Fee Payment
The payment of the referral fees will be done on a quarterly basis. Approximately 30 days following the end of each calendar quarter, we will make a transfer to your account or the referral fees earned on our sales of courses that have been joined and fully paid during that quarter, less any taxes that we are required by law to withhold. If the referral fees payable to you for any calendar quarter are less than $100, we will hold those referral fees until de total amount due is at least $100 or until this Agreement is terminated. We will only pay referral fees for the courses that have been joined and fully paid.
6. Policies & Pricing
Customer who enrol on any course through this program will be deemed to be customers of Internet Education Services S.L. (IES) Accordingly, all IES rules, policies, and operating procedures concerning customer orders & customer service will aply to those customers.
7. Identifying Yourself as an Associate
We will make available to you a graphic image that identifies your site as a Program participant. You must display this logo somewhere on your site.
8. Limited License
We grant you a nonexclusive, revocable right to use the graphic image and text described in Section 8 and such other images for which we grant express permission, solely for the purpose of identifying your site as a Program participant and to assist in generating product sales.
9. Responsibility for your site
You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. We disclaim all liability for these matters.
10. Term of the Agreement
The term of this Agreement will begin upon your acceptance of the Program application and will end when terminated by either party. You are only eligible to earn referral fees on our sales of courses occurring during the term, and referral fees earned through the date of termination will remain payable only if the related orders are joined, fully paid, and not cancelled.
11. Modification
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, contacting with you by e-mail. If any modification is unacceptable to you, your only recourse is to terminate this agreement.
12. Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
13. Disclaimer
We make no express or implied warranties or representations with respecto to the program or any products sold through the Program. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
14. Miscellaneous
This agreement will be governed by the laws of Spain, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the state courts located in Salamanca (Spain), and you irrevocably consent to the jurisdiction of such courts.
15. Guarantees
· We will pay you the referral fees corresponding to the customers that visit us from your site, although they order the enrollment by mail, email, phone, fax, the form in our site, or any other way, whenever the customer's first visit is no longer than nine months to the enrollment date, and the customer make a first information request through our site.
· We will save in a log file all the visits of the customers during six months (180 days) starting from the first visit to our site, that way you would be paid the referral fee of all the customers following our banner, even if they do not enrol via our site.
